Duties of Board President

The President is the general manager and chief executive officer of this corporation and has, subject to the control of the Board, general supervision, direction and control of the business, activities and officers.   The President has the general powers and the Board may prescribe duties of management usually vested in the office of president and general manager of a corporation and such other powers and duties as.

Among other things, the President shall be responsible for:

  • Ensuring the organization’s activities are compliant and in furtherance of its mission
  • Leading, managing, and developing the organization’s volunteers, and organizational culture
  • Developing, implementing, monitoring, and assessing the organization’s programs (including their impact)
  • Developing, implementing, monitoring, and assessing sound and compliant financial management practices (including budgeting)
  • Developing, implementing, monitoring, and assessing sound and compliant fundraising practices
  • Developing, informing, and supporting the board and the board committees to carry out their governance functions
  • Partnering with the Director of Alumni Relations to help ensure the Board’s directives, policies, and resolutions are carried out
  • Working with the development committee and Alumni Relations in cultivating and soliciting major foundation grants and individual gifts
  • Developing and maintaining beneficial relationships with donors, funders, supporters, collaborators, allies, vendors, and other stakeholders
  • Ensuring effective external communications about the organization and its mission, priorities, importance, programs, and activities
  • Championing the organization and advocating its mission to internal and external stakeholders
  • Keeping informed and the organization’s leadership informed of significant developments and changes in the internal and external environment
  • Leading the organization’s planning processes
  • Ensuring legal compliance (including all required filings) and sound risk management practices

Board Member Essential Duties

  1. Attend regularly scheduled Executive Board Meetings the second Wednesday of each month.
  2. Submission of any proposed Agenda Items to the Board Secretary by the 1st of each month
  3. Commitment to the expected time commitment to Board and Committee Activities
  4. Read, understand, and abide by the PGIAA By-Laws
  5. Submit Status Report as Chairperson on the work of your committee by the 25th of each month to the Board Secretary.
  6. Communicate and maintain consistent and up-to-date status on all committee activities with your committee Co-Chairperson in the event of your inability to attend and report at an Executive Board meeting
  7. Assist in the planning of the Annual Meeting and attendance at the Annual Meeting

Board Member as Committee Chairperson/Co-Chairperson Essential Duties

  1. Direct and coordinate activities to manage resources and ensure optimal performance in achievement of committee objectives as well as resolve problems. Work with other PGIAA committees to accomplish the same.
  2. Create and maintain policies, procedures, and practices for accomplishing committee objectives and develop and implement improvements to them.
  3. Establish, communicate and pursue objectives for the committee to accomplish, consistent with the PGIAA Annual Meeting goals and from those that develop from the membership.
  4. Inspire others to follow the established direction for the committee and the PGIAA.
  5. Maintain all committee documentation, committee processes and recommend processes to improve the workings of the committee, including funding ideas and budget opportunities and copy all such documentation to the Board Secretary per Bylaws.
  6. Coordinate operations and committee activities, ensuring accuracy and integrity of information, discussions and compliance with PGIAA Bylaws.
  7. Maintain and develop the regular meetings schedules and momentum toward accomplishing committee goals.
  8. Develop committee membership as needed to accomplish committee work with diversity and complementarity.
  9. Champion the goals of the committee to the PGIAA Executive Board.
  10. Schedule, coordinate, and lead Committee Meetings to elicit ideas for new applications and improved services to support corporate vision and direction.
  11. Develop and demonstrate an understanding of membership needs and a commitment to effective resolution.
  12. Resolve committee issues of a complex scope or escalated issues that impact the committee and overall Association objectives.
  13. Develop regular communication schedules, updates, to the committee members and PGIAA Executive Board.
  14. Develop and update plans, ideas, goals.
  15. Develop funding and grant resources.
  16. Analyze and monitor and and all costs in area of responsibility.
  17. Initiate committee personnel actions, including adding committee membership, coaching committee members, resolving interpersonal committee issues, remove committee members, along compassionate yet responsible methodologies to maintain the integrity of the committee and its functionality.
  18. Develop and maintain productive and effective relationships with committee members, the Executive Board, other Committees, and Alumni
  19. Demonstrate a high standard of work ethics and professionalism to all those you work with in the name of the PGIAA.
  20. Represent the PGIAA in a positive and supportive manner at all times.
  21. Coordinate duties and absences with the Committee Co-Chairperson to maintain committee continuity.

 

Additional Duties and Responsibilities

  1. Travel to attend PGIAA meetings, regional events, and alumni get-togethers as able.
  2. Maintain supplementary files on committee activities.
  3. Maintain duplicate files and documentation with the Committee Co-Champion
  4. Review committee reports, papers, and other records prepared by committee personnel for clarity, completeness, accuracy, and conformance with PGIAA policies and procedures.
  5. Other projects as directed.

 

Estimate of Committee Time Commitment

Average monthly commitment of fifteen (15) hours during term of Committee leadership
